Business/Alive News: Tata Trusts Chairman Noel Tata has written fresh letters to the board of Tata Sons, seeking discussion on a proposed restructuring plan at its upcoming meeting on November 26, 2026, The Economic Times reported.
Tata Trusts, which holds a 66 per cent stake in Tata Sons, has proposed merging two group companies, Tata Electronics Systems Solutions Private Limited (TESS) and Tata Consulting Engineers (TCE), directly into the holding company. The proposal aims to alter Tata Sons’ financial structure and potentially remove it from the Reserve Bank of India’s (RBI) regulatory framework for non-banking financial companies (NBFCs).
Currently, Tata Sons operates primarily as a holding company and is classified as a core investment company (CIC). The proposed mergers would bring operating businesses directly under Tata Sons, allowing it to generate revenue from business operations alongside its investment activities.
Tata Trusts believes the restructuring could mean that Tata Sons no longer meets the regulatory criteria for an NBFC or CIC, potentially enabling it to surrender its registration with the RBI.
The proposal comes amid disagreements between Tata Trusts and the Tata Sons board over governance, the company’s unlisted status and the leadership of Chairman N Chandrasekaran, who has led the group’s holding company since 2017.
In September, the Tata Sons board reportedly approved a second five-year term for Chandrasekaran, with four of the five directors voting in favour and Noel Tata opposing the decision. Tata Trusts subsequently questioned the validity of the decision under the company’s articles of association.
The board has also considered steps to comply with RBI requirements concerning stock market listing, deepening differences with the majority shareholder.
The restructuring proposal could have significant implications for Tata Sons’ ownership and governance. A potential listing would alter the relationship between public shareholders, the board and Tata Trusts, which oversees the philanthropic interests associated with the Tata Group.
